Agreement for Web Design Services
This Agreement is entered into between The Client (“The Client”) and Sheridan Burns Studio (“The Designer”).
By signing this Agreement, both parties agree to the terms outlined below.
1. PROJECT SERVICES
Sheridan Burns Studio agrees to provide brand and/or website design services as outlined within the attached proposal (“The Proposal”).
Services may include but are not limited to:
• Website design and development
• Brand identity design
• Mobile optimisation
• Basic SEO setup
• Platform setup and integrations
• Website training and launch support
The Designer agrees to create a visually cohesive, functional and professional brand and/or website using industry-standard platforms and tools including but not limited to Squarespace, Shopify, Wix, Flodesk, Adobe Creative Suite, Canva and Google Workspace.
Project scope, inclusions, timelines and deliverables are defined within The Proposal.
2. PROJECT TIMELINES + CLIENT RESPONSIBILITIES
The Client acknowledges and agrees to the Sheridan Burns Studio Signature Website Service process and timeline structure.
To ensure the project can proceed within the allocated production schedule, The Client agrees to provide all required branding assets, imagery, written copy, login details, third-party platform access and requested information prior to the commencement of the scheduled build week unless otherwise agreed in writing.
The Client acknowledges that failure to provide required assets, approvals, revisions, access or communication within the allocated project timelines may result in delays, rescheduling or additional fees.
Sheridan Burns Studio is not responsible for delays caused by:
• Missing content or assets
• Incomplete submissions
• Delayed approvals or revisions
• Delayed communication
• Third-party service providers
• Platform outages or limitations
3. CONTENT + MATERIALS
PHOTOGRAPHS + VISUAL ASSETS
The Client agrees to supply all logos, branding files, photographs, graphics and supporting visual assets in high-resolution digital format suitable for web use.
Sheridan Burns Studio is not responsible for poor website outcomes caused by low-quality, blurry, pixelated or unsuitable imagery supplied by The Client.
If stock imagery sourcing or image editing is required outside the agreed scope, additional fees may apply.
COPYWRITING
Unless explicitly included within The Proposal, copywriting services are not included within website design packages.
The Client is responsible for supplying all required written content unless otherwise agreed.
Where Sheridan Burns Studio recommends or engages a third-party copywriter, communication timelines and deliverables may be subject to the copywriter’s workflow and availability.
ONLINE STORES + ADDITIONAL FUNCTIONALITY
Where eCommerce functionality, booking systems or additional integrations are included within the project scope, The Client agrees to provide all required product information, pricing, descriptions, shipping details, policies and setup information prior to the scheduled build week.
Sheridan Burns Studio reserves the right to postpone project timelines where these materials are not supplied on time.
4. COMMUNICATION + COLLABORATION
The Client acknowledges that the Signature Website Service operates within a structured and time-sensitive production schedule.
During active build periods, communication will occur primarily through the agreed communication channel, including email or WhatsApp.
The Client agrees to remain reasonably available throughout the project to provide approvals, revisions, decisions and requested information within communicated timeframes.
Failure to communicate within allocated project windows may result in delays, hold fees or rescheduling.
5. REVISIONS + FEEDBACK
The Client agrees to provide all revision requests and feedback within the allocated revision windows communicated throughout the project.
To maintain project momentum, feedback should be submitted in one clear and consolidated response wherever possible.
Additional revisions outside the agreed project scope, excessive revision rounds or substantial design changes requested after approval stages may incur additional fees charged at Sheridan Burns Studio’s current hourly rate.
Sheridan Burns Studio reserves the right to determine what constitutes excessive revisions or scope changes.
Failure to provide revisions or approvals within the allocated timeframe may result in the project being considered placed on hold.
AI-Generated Feedback and Revision Requests
All design feedback and revision requests must be provided directly by the Client and reflect the Client’s own preferences, business requirements and the agreed project brief. Feedback, critiques, recommendations or revision requests generated by artificial intelligence tools, including but not limited to ChatGPT, Claude, Gemini or similar platforms, will not be accepted as valid project feedback or included within the agreed revision rounds.
The Client acknowledges that AI tools do not have full context of the project strategy, design rationale, target audience, technical requirements or discussions undertaken throughout the project. Sheridan Burns Studio is therefore not required to action, assess or respond to AI-generated design critiques or recommendations.
Where AI-generated feedback is submitted, the Client will be asked to review the design personally and resubmit their own clear and consolidated revision requests. Any additional time required to review or respond to AI-generated recommendations may be treated as work outside the agreed project scope and charged accordingly.
6. PAYMENT TERMS
The total project investment is outlined within The Proposal.
A non-refundable booking payment equal to twenty-five per cent (25%) of the total project fee is required to secure The Client’s project within the Sheridan Burns Studio calendar.
The remaining balance must be paid in full no later than twenty-four (24) hours prior to the commencement of the scheduled build week.
Failure to complete payment may result in:
• Project postponement
• Suspension of work
• Cancellation of scheduled production dates
• Hold fees being applied
All payments made are non-refundable where project delays, cancellations or interruptions are caused by The Client, including but not limited to:
• Failure to provide required assets or access
• Failure to communicate within agreed timelines
• Failure to provide revisions or approvals
• Failure to attend scheduled appointments
• Failure to complete required preparation tasks
Payments may be made via bank transfer or credit card using the payment methods outlined within the invoice system.
7. PAYMENT PLANS
Payment plans are available exclusively through Zip Pay via Xero where eligible.
Sheridan Burns Studio is not responsible for assisting with:
• Zip Pay setup
• Approval processes
• Account management
• Technical troubleshooting
No internal payment plans will be offered outside of Zip Pay.
8. HOLD FEES + RESCHEDULING
Due to the structured nature of the Signature Website Service and limited project availability, projects unable to proceed as scheduled due to incomplete content delivery, missing access, unpaid invoices or delayed communication from The Client will be considered placed on hold.
Where a project is placed on hold due to The Client:
• Not paying the remaining balance in full at least 24 hours prior to the build start date; or
• Not supplying all required assets, approvals, content or platform access at least 24 hours prior to the build start date;
A holding fee equal to ten per cent (10%) of the total project fee per week will apply until all required items have been supplied and the project is rescheduled.
Projects placed on hold will be moved to the next available production period determined by Sheridan Burns Studio.
A minimum of fourteen (14) days written notice is required from The Client to request removal from hold status and rescheduling of the project.
Where Sheridan Burns Studio is unable to recommence work immediately following The Client’s request to resume the project, a mutually agreed future production date will be scheduled without additional holding fees applying during that waiting period, provided the project resumes within thirty (30) days.
9. UNFORESEEN DELAYS
Sheridan Burns Studio acknowledges that unforeseen circumstances may arise, including but not limited to:
• Illness or injury
• Family emergencies
• Natural disasters
• Severe weather events
• Internet or power outages
• Events outside the reasonable control of either party
Where unforeseen delays impact the project timeline, both parties agree to communicate openly and act reasonably in determining a fair revised timeline.
A grace period of up to one (1) week may be provided before hold fees or rescheduling fees are considered, depending on the circumstances and communication provided.
10. WEBSITE APPROVAL + LAUNCH
Prior to launch, The Client will be given the opportunity to review the website and request revisions within the agreed project scope.
Once final approval has been provided or the website has been launched, the project will be considered completed.
Sheridan Burns Studio is not responsible for issues arising after launch due to:
• Client modifications or edits
• Third-party plugins or integrations
• Platform updates
• User error
• External service providers
11. THIRD-PARTY PLATFORMS
The Client acknowledges that Sheridan Burns Studio designs primarily using third-party platforms including but not limited to Squarespace, Shopify, Wix, Flodesk and Google Workspace.
Sheridan Burns Studio is not responsible for:
• Platform outages
• Service interruptions
• Policy changes
• Software updates
• Platform limitations
• Changes to third-party pricing or functionality
12. INTELLECTUAL PROPERTY + CLIENT CONTENT
The Client warrants that all content, imagery, logos, copy, documents and materials supplied to Sheridan Burns Studio are owned by The Client or appropriately licensed for use.
The Client accepts full responsibility for ensuring all supplied materials do not infringe copyright, trademark or intellectual property rights of any third party.
Upon full payment of all invoices, ownership of the completed website design and approved branding assets will transfer to The Client, excluding:
• Licensed fonts
• Third-party assets
• Stock photography licenses
• Proprietary systems or templates owned by Sheridan Burns Studio
Sheridan Burns Studio retains the right to display completed work within portfolios, social media, marketing materials and industry awards unless otherwise agreed in writing.
13. PAYMENT COLLECTION
The Client acknowledges that unpaid invoices, overdue balances, hold fees or outstanding amounts may be referred to Sheridan Burns Studio’s solicitor or a third-party debt collection agency for recovery.
The Client agrees to be responsible for any additional costs incurred in recovering outstanding amounts including:
• Legal fees
• Debt collection costs
• Administrative expenses
• Interest where permitted by law
14. TERMINATION
Either party may terminate this Agreement in writing.
Where termination occurs, Sheridan Burns Studio reserves the right to invoice for all work completed, administrative time incurred and expenses accrued up to the date of termination.
All outstanding invoices become immediately payable upon termination.
Sheridan Burns Studio reserves the right to withhold deliverables until all outstanding amounts are paid in full.
15. GOVERNING LAW
This Agreement shall be governed by and interpreted in accordance with the laws of New South Wales, Australia.
Both parties agree to submit to the jurisdiction of the courts of New South Wales.
16. ACCEPTANCE OF AGREEMENT
By signing this Agreement, The Client acknowledges that they have:
• Read and understood this Agreement
• Had the opportunity to seek independent legal or financial advice
• Agreed to all terms outlined above
• Accepted responsibility for all payment obligations and project timelines
Both parties acknowledge acceptance of this Agreement upon signing.
